Affiliate programme agreement

Earn 30% of what the agents you introduce pay for Propoa, for their first 12 months.

This agreement

This is the agreement between you and Propoa Pte. Ltd. (UEN 202635624D), which operates Propoa, for the Propoa affiliate programme. It applies once we have approved your application. Applying tells us you have read it and agree to it.

The affiliate programme is for creators, trainers and coaches whose audience is property agents. It pays a share of what the agents you introduce pay for their Propoa subscription. It is a separate programme from the referral programme, which rewards every subscriber with account credit; if you are approved as an affiliate, the commission below replaces the referrer credit you would otherwise earn.

You take part as an independent business, not as our employee, agent or partner. You cannot make promises or commitments on our behalf. Your own Propoa account is still governed by the terms of use and the privacy policy.

This is an arrangement for promoting software. It is not a referral fee, introduction fee or benefit connected to any property transaction, and nothing in it should be presented to a client, a buyer, a seller or a tenant as though it were.

Who can join

  • You are at least 18 and have a Singapore bank account or mobile number linked to PayNow, which is how we pay.
  • You hold a Propoa account in good standing. You do not need to be a registered salesperson to be an affiliate, but most affiliates are.
  • You tell us the channels you will promote on (for example a TikTok or Instagram handle, a Telegram group you run, a training programme) and keep that list current.
  • We approve applications at our discretion and may decline one without giving a reason. One affiliate agreement per person or business.

How referrals are tracked

  • Your affiliate code is the referral code shown on your Referrals screen. Share it, or a link that carries it, with your audience.
  • An agent enters your code while submitting their CEA registration for verification, within 30 days of creating their account. A code entered later than that does not count, because by then something else brought them to us.
  • The referral is confirmed once an admin approves that agent's CEA registration, and it converts when they start a paid subscription.
  • Each CEA registration number can be referred once, ever. An agent who already had a referrer, or who reached us before hearing about your code, is not your referral.
  • We show you how many agents have entered your code and where each one is (pending, verified, converted, vested), so you can see what you are owed. We do not share their names, contact details or anything else they entered.

What you earn

You earn 30% of the subscription payments we receive from each agent you referred, for the first 12 months of their paid subscription, counted from the day they first pay. After that their subscription earns you nothing further.

As a worked example, an agent on Pro at $99 a month earns you $29.70 for each month they pay, or $356.40 if they stay the full 12 months. Plans and prices are the ones published on our pricing page at the time of each payment.

  • Commission is calculated on the subscription price the agent actually paid, after any refund, chargeback or account credit applied to that payment, and before payment processing fees.
  • If the agent pays annually, the payment earns commission at the same rate, but it is earned and paid in 12 equal monthly instalments, one for each month of service they have actually received, on the same timetable as if they had paid monthly. The annual payment uses up their 12-month commission period. If any part of it is refunded or charged back, the instalments for the months not delivered are cancelled.
  • The agent you referred still receives the standard $49 referee credit under the referral programme terms. You do not receive referrer credit on affiliate referrals; commission replaces it.
  • There is no cap on the number of agents you can refer or on the commission you can earn.
  • Commission is a share of revenue. It is not a share of profit, and nothing here gives you any ownership of, or claim on, Propoa or its business.

When and how we pay

  • Commission on a payment is held until that payment can no longer be reversed, and becomes payable only if the agent's subscription is still active and paid at the end of the holding period. For a payment made by PayNow, which cannot be recalled, that is 60 days after the payment. For a card payment, which the agent's bank can charge back for months afterwards, it is 120 days.
  • If the agent cancels, lapses, refunds or charges back during the holding period, the held commission on that payment is cancelled.
  • For an annual payment, each of the 12 monthly instalments becomes payable once the month of service it covers has started and the payment's own holding period has passed, whichever is later.
  • We pay vested commission monthly, by the 15th, for everything that vested in the previous calendar month, with a statement showing how it was calculated.
  • We pay in Singapore dollars by PayNow to the mobile number, NRIC-linked account or UEN you register with us. Payments below $50 roll over to the next month.
  • You are responsible for any income tax on what you earn. We do not withhold tax. If you are GST-registered, tell us before your first payout and invoice us with GST shown separately.
  • We never ask you to repay commission we have paid. Because we hold commission until a payment is beyond reversal, a refund we choose to give after that is our cost, not yours. The only correction we make against a later payout is for an arithmetic error of our own on a statement, and we will show you the working.
  • If more than 10% of the agents you referred who went on to pay are refunded or charged back in any 90-day period, we may hold further payouts while we review your referrals. Arranged sign-ups that pay and then reverse the payment are a breach of this agreement, not a refund.
  • Commission is paid to the person or business named on the agreement and cannot be assigned to anyone else.

What you must do

  • Disclose the commercial relationship clearly in every post, video, message or session where you promote Propoa or share your code, in a way your audience will see before they act on it (for example a spoken and written 'affiliate' or '#ad' at the point you mention us). Singapore's advertising guidelines on social media require this, and so do we.
  • Be truthful. Describe features we have actually released, quote only prices from our pricing page, and never promise or imply that Propoa produces deals, leads, income or commission for the agent using it.
  • Never suggest that Propoa, this programme or your promotion is endorsed by, connected to or required by the Council for Estate Agencies, any estate agency or any professional body.
  • Stay within your own obligations as a salesperson, if you are one. Your agency's rules on outside business and on what you may promote to colleagues or downlines are yours to check and keep. We do not pay you to recruit, and you must not present the programme as part of any recruitment or team-joining offer.
  • Promote to people who chose to hear from you. No unsolicited bulk messages, no messaging agents from scraped listings or directories, no calls or texts to numbers on the Do Not Call Registry, and nothing that breaches the Spam Control Act or the Personal Data Protection Act.
  • Do not collect personal data about prospective users on our behalf, and do not forward anyone's contact details to us. Point people to the app; let them sign up themselves.
  • No paid search or social advertising that bids on 'Propoa' or our other names, no posting the code on coupon or discount aggregator sites, and no presenting the code anywhere as though it were an official offer from us.
  • No referrals of accounts you control, accounts arranged principally to earn commission, or agents who did not genuinely choose to subscribe.

Using our name, and your content

  • While the agreement is in force you may use the Propoa name, logo and app screenshots to promote Propoa, following any brand guidance we give you. You may not alter the logo, register a domain, handle or page name containing our name, or present yourself as Propoa.
  • You own the content you make. You give us permission to reshare it, with credit to you, on our own channels and website, and to stop doing so if you ask.
  • If a piece of content breaches this agreement or is inaccurate, we may ask you to correct or remove it, and you will do so promptly.

Ending the agreement

  • Either side may end the agreement for any reason with 14 days' written notice. Email is fine.
  • We may end it immediately if you breach it, if you lose your Propoa account, or if promoting Propoa through you would put us, you or your audience in breach of any law or professional rule.
  • If the agreement ends without a breach, the agents you had already referred keep earning you commission until their 12-month periods end, on the usual vesting and payout schedule.
  • If it ends because you breached it, commission that has not yet been paid is forfeited, and we may withhold or reverse commission on any referral that appears to breach this agreement. We will tell you which referrals and why.
  • Ending the agreement does not affect your own Propoa account or the referral programme, which continues to apply to you as it does to any other subscriber.

Changes

  • We will give you at least 30 days' notice by email before any change that reduces what you earn. Changes that are neutral or more generous can take effect straight away.
  • A referred agent is always settled under the version of this agreement in force on the day they entered your code, even if the programme changes afterwards.
  • We may close the programme to new affiliates, or end it altogether, at any time. Commission already earned is honoured.

Liability, law and disputes

  • We are each liable to the other only for direct losses caused by our own breach of this agreement, up to the total commission paid to you in the 12 months before the claim. Neither of us is liable to the other for lost profits, lost audience or indirect loss.
  • You are responsible for claims that arise from your content or from your breach of this agreement, including any claim by a person you promoted to or by your agency.
  • This agreement is governed by Singapore law and the courts of Singapore have exclusive jurisdiction. If something goes wrong, tell us first; we will try to sort it out with you within 30 days before either side takes it further.

How to apply

Email support@propoagroup.co with the subject 'Affiliate application', the email address on your Propoa account, the channels you would promote on, and a sentence on who your audience is. We reply within a few working days and, if approved, confirm the version of this agreement you are on and the PayNow details we hold for you.
